What is the minimum term applicable to convocation of the general meeting of a joint stock company through “written invitations“?

Abstract

The author argues that the minimum term for convocation of the general meeting of a joint stock company through written invitations is 30 days and that such term runs from the time all shareholders are served with invitations. The article also addresses the correlation between the term for convocation of the general meeting of shareholders and the terms and conditions for the exercise of shareholders' rights under Art. 223a and Art. 224 of the Commercial Act. The conclusions drawn in the article are analyzed in light of the positions taken in legal theory and the case law of the Supreme Court of Cassation.
